These Terms and Conditions of Service (the “Terms”) govern access to and use of the FynHelp platform. They constitute a binding agreement between FynHelp, a company incorporated under the laws of India bearing its corporate identity number (to be published) and having its registered office at the address to be published on this page (“FynHelp”, “we”, “us” or “our”), and the firm, entity or individual that registers for or uses the Service (the “Customer”, “you” or “your”).
Please read these Terms carefully. By accessing or using the Service, you confirm that you have read, understood and agree to be bound by them.

2. Acceptance and eligibility
The Customer accepts these Terms by creating an account, starting a free trial, indicating acceptance through the Service, or otherwise accessing or using the Service. A Customer that does not agree to these Terms must not use the Service.
These Terms are an electronic record within the meaning of the Information Technology Act, 2000 and the rules made under it, and form a valid and enforceable contract under section 10A of that Act. No physical or digital signature is required.
The Service is intended solely for chartered accountant firms, accounting practices and finance professionals acting in the course of their profession or business. The Customer acknowledges that it avails the Service for a commercial purpose.
The individual accepting these Terms represents that they are at least eighteen (18) years of age, are competent to contract under the Indian Contract Act, 1872, and are duly authorised to bind the Customer.
Where an Order Form signed by both parties conflicts with these Terms, the Order Form prevails to the extent of the conflict.
3. Accounts and security
The Customer shall provide accurate, current and complete registration information and shall keep it up to date.
The Customer is responsible for all activity under its account, for the acts and omissions of its Authorised Users, and for the roles and permissions it assigns within its workspace.
The Customer shall keep all login credentials confidential and shall notify FynHelp without delay at support@fynhelp.com on becoming aware of any unauthorised access to its account.
FynHelp may require multi-factor authentication or other reasonable security measures as a condition of access.
4. The service
The Service enables the Customer to ingest documents, reconcile bank transactions with books of account, route unmatched items for human review, maintain an audit trail and prepare monthly management information system (“MIS”) reports.
The Service operates alongside the Customer’s existing accounting software and accesses ledger exports and connected sources on a read-only basis. It does not post or alter entries in Tally, Zoho Books or any other accounting system.
The Service is a productivity tool. It does not constitute, and must not be relied on as, accounting, auditing, taxation, legal or investment advice. The Customer remains solely responsible for the exercise of professional judgement, the review and approval of Output, all statutory filings and all advice given to its Clients.
Compliance checks made available through the Service, including GSTIN validation and TDS rate and due-date checks, are based on information available to FynHelp at the relevant time. The Customer shall verify such matters against the applicable law and official notifications before relying on them.
FynHelp may modify, enhance or discontinue features of the Service from time to time. Where a material feature included in a paid plan is to be withdrawn, FynHelp shall give the Customer not less than thirty (30) days’ prior notice.
5. Free trial
FynHelp may offer a free trial of the Service. The free trial runs for fourteen (14) days from the Customer’s first document upload, extended to thirty (30) days once the Customer completes its first reconciliation and first MIS report. It covers up to five (5) active Client Entities and two hundred (200) documents, and does not require a payment method.
On expiry of the trial, the account becomes read-only unless the Customer subscribes to a paid plan, and Customer Data remains available for export for thirty (30) days. No charge is levied for a trial that is not converted to a paid plan.
Trial access is provided on an “as is” basis. Data uploaded during a trial is retained for thirty (30) days after the trial ends and is then deleted, unless the Customer subscribes.
6. Customer data and confidentiality
As between the parties, the Customer (and, where applicable, its Clients) owns all right, title and interest in Customer Data and Output. FynHelp claims no ownership of either.
The Customer grants FynHelp a limited, non-exclusive, non-transferable licence to host, store, copy, process and display Customer Data solely to provide, maintain, secure and support the Service for the Customer, and to comply with applicable law.
In respect of personal data contained in Customer Data, the Customer acts as the Data Fiduciary and FynHelp acts as its Data Processor within the meaning of the DPDP Act. FynHelp shall process such personal data only on the Customer’s documented instructions and in accordance with the Privacy Policy.
The Customer represents and warrants that it holds all rights, consents and authorisations, including under its engagement terms with Clients, necessary to upload Customer Data and to permit its processing by FynHelp and its sub-processors. The Customer remains responsible for its own obligations under the Chartered Accountants Act, 1949, the Code of Ethics issued by the Institute of Chartered Accountants of India, and applicable data protection law.
FynHelp shall hold Customer Data in confidence and shall not disclose it to any third party except: (a) to sub-processors engaged to provide the Service, under written obligations of confidentiality and security; (b) as required by law, regulation or the order of a competent authority; or (c) with the Customer’s prior consent. FynHelp personnel shall access Customer Data only to the extent necessary to provide support requested by the Customer, to maintain the security of the Service, or to comply with law.
FynHelp shall not sell Customer Data and shall not use Customer Data to train artificial intelligence models made available to other customers. Matching rules and corrections configured by the Customer apply only within the Customer’s own workspace.
Customer Data is logically segregated at the database level and is not accessible to any other customer of FynHelp.
7. Automated processing and output
The Service uses automated extraction, rule-based matching and third-party artificial intelligence models. Output generated by automated means may be incomplete or inaccurate.
The Customer shall review all Output before relying on it, sharing it with any Client, or using it in any filing or submission.
A shareable link to Output created by the Customer may be accessed by any person who holds that link until it expires or is revoked. The Customer is solely responsible for the distribution of such links.
8. Acceptable use
The Customer shall not, and shall ensure that its Authorised Users do not:
upload or process any data that it is not lawfully entitled to process;
use the Service for any unlawful purpose, including money laundering, tax evasion or the creation of false or misleading records;
introduce any virus, malware or other harmful code, or attempt to probe, scan or test the vulnerability of, or breach the security of, the Service;
reverse engineer, decompile, copy, resell, sublicense or otherwise commercially exploit the Service, except as expressly permitted by law;
attempt to access the data of any other customer or to circumvent workspace segregation;
use the reminder, email or WhatsApp features to send unsolicited communications, or to contact any person who has not agreed to receive communications from the Customer;
scrape or systematically extract data from the Service, or use the Service to develop a competing product; or
impersonate any person or misrepresent its affiliation with any person.
FynHelp may remove content, suspend access or report activity to the appropriate authorities where it reasonably believes that this Clause 8 has been breached, or where required by law.
9. Fees, billing and taxes
Fees are charged per active Client Entity in accordance with the plan selected by the Customer and the prices published on the FynHelp website or stated in the Order Form (the “Fees”). Client Entities in excess of the plan allowance are charged at the applicable per-entity rate.
Fees are payable in advance, monthly or annually, through FynHelp’s authorised payment gateway, presently Razorpay. Annual plans carry the discount stated at the time of purchase, presently two (2) months free.
All Fees are exclusive of Goods and Services Tax and other applicable taxes, which are charged in addition at the prevailing rates. FynHelp shall issue tax invoices in accordance with the Central Goods and Services Tax Act, 2017. The Customer should provide its GSTIN at the time of purchase in order to claim input tax credit.
Subscriptions renew automatically for successive periods equal to the initial Subscription Term unless cancelled before the renewal date. Recurring payments are processed in accordance with the Reserve Bank of India’s framework for e-mandates, including any pre-debit notification and additional factor of authentication required under it.
Charges for additional active Client Entities, and for documents processed beyond the plan’s pooled document allowance (charged per block of 250 documents at the published rate), are computed at the end of each calendar month and billed on the following invoice. Document allowances are not a hard limit, and FynHelp shall notify the Customer when eighty per cent (80%) and one hundred per cent (100%) of the allowance is used.
If a payment fails, FynHelp shall notify the Customer and may re-attempt collection. Where any amount remains unpaid fifteen (15) days after its due date, FynHelp may restrict the Customer’s account to read-only access until payment is received. Customer Data shall not be deleted for non-payment except in accordance with Clause 14.
FynHelp may revise its Fees on not less than thirty (30) days’ prior notice. Revised Fees apply from the next renewal. Fees for an annual Subscription Term shall not change during that term.
Cancellations and refunds are governed by the Refund and Cancellation Policy.
10. Warranties and disclaimers
FynHelp warrants that it shall provide the Service with reasonable skill and care, and shall maintain reasonable security practices and procedures as described in the Privacy Policy.
Except as expressly set out in these Terms, the Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, FynHelp disclaims all other warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.
FynHelp does not warrant that Output will be accurate or complete, or that it will satisfy any statutory, audit or regulatory requirement.
11. Limitation of liability
Neither party shall be liable to the other for any indirect, incidental, special, punitive or consequential loss, or for any loss of profits, revenue, business, goodwill or anticipated savings, however arising, even if advised of the possibility of such loss.
The aggregate liability of FynHelp arising out of or in connection with this Agreement, whether in contract, tort (including negligence) or otherwise, shall not exceed the Fees actually paid by the Customer to FynHelp in the twelve (12) months immediately preceding the event giving rise to the claim. In respect of a free trial, such liability shall not exceed Rupees One Thousand (₹1,000).
FynHelp shall not be liable for any tax, penalty, interest, late fee or other loss arising from any filing, submission, advice or decision made by the Customer or its Clients, whether or not Output was used.
Nothing in this Agreement limits or excludes liability for fraud, wilful misconduct, or any liability that cannot be limited or excluded under applicable law.
12. Indemnity
The Customer shall indemnify and hold harmless FynHelp and its directors, officers, employees and agents against all third-party claims, losses, damages, penalties and reasonable legal costs arising out of: (a) Customer Data uploaded without the requisite right or consent; (b) any breach of this Agreement or of applicable law by the Customer or its Authorised Users; or (c) professional services rendered by the Customer to its Clients.
FynHelp shall indemnify the Customer against any third-party claim that the Service, as provided by FynHelp, infringes that third party’s intellectual property rights in India, provided that the Customer notifies FynHelp promptly in writing, allows FynHelp to control the defence and settlement of the claim, and provides reasonable cooperation.
13. Intellectual property and third-party services
FynHelp and its licensors own all intellectual property rights in the Service, including its software, design, matching logic, models, trademarks and documentation. Subject to payment of the Fees, the Customer is granted a limited, non-exclusive, non-transferable right to use the Service during the Subscription Term.
FynHelp may use any suggestion or feedback provided by the Customer without restriction or obligation.
The Service interoperates with third-party services, including Tally, Zoho Books, Gmail, WhatsApp, Razorpay and artificial intelligence providers. Use of such services is governed by their respective terms. FynHelp is not responsible for the availability, modification or data practices of third-party services outside its control. The Customer may revoke FynHelp’s access to any connected service at any time.
14. Term, suspension and termination
This Agreement commences on the Customer’s acceptance and continues until terminated in accordance with this Clause 14.
The Customer may cancel its subscription at any time through the Service or by written notice to support@fynhelp.com. Cancellation takes effect at the end of the then-current Subscription Term.
FynHelp may suspend or terminate the Customer’s access with immediate effect if the Customer materially breaches Clause 8, if required by law or by the order of a competent authority, or if the Customer’s use poses a security risk to the Service or to other customers. For any other material breach, FynHelp shall give the Customer fifteen (15) days’ written notice to remedy the breach before terminating.
Following termination or expiry, the Customer may export Customer Data and Output for a period of thirty (30) days. FynHelp shall thereafter delete Customer Data from its active systems within thirty (30) days, and from backups in accordance with its standard rotation, save for records that it is required by law to retain.
Clauses 6.1, 6.5, 10, 11, 12, 13, 15 and 17 survive the termination or expiry of this Agreement.
